Effective October 6, 2026

This End-User License Agreement (“Agreement”) governs use of DP Internal Ledger (the “App”), a private software tool developed and operated by David Powers (“Licensor”).

1. License. Licensor grants a limited, non-exclusive, non-transferable, revocable license to use the App solely for the internal accounting, tax and reporting needs of entities owned or managed by David Powers. The App is not sold, distributed or made available to the public.

2. Authorized users. Only David Powers and persons he expressly authorizes may use the App. Each QuickBooks Online company is connected only with the consent of an administrator of that company.

3. Restrictions. The App may not be resold, sublicensed, reverse engineered, or used to access any QuickBooks company without proper authorization, or in violation of Intuit’s terms of service.

4. Data. Use of data accessed through the App is governed by the Privacy Policy. Each connected company retains ownership of its data.

5. Disclaimer. THE APP IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

6. Limitation of liability. To the maximum extent permitted by law, Licensor is not liable for any indirect, incidental, special, consequential or punitive damages, or any loss of data, profits or revenue, arising from use of the App.

7. Termination. Licensor may terminate this license at any time. Access to a QuickBooks company ends when the App is disconnected from that company.

8. Governing law. This Agreement is governed by the laws of the State of New York, without regard to conflict-of-laws principles.
